1. Parties and premises

This Room License Agreement (the "Agreement") is between Boston Neuromind LLC, a Massachusetts limited liability company doing business as Canton Suite ("Licensor", "we"), and the licensed or credentialed professional who books a room through cantonsuite.com ("Licensee", "you").

The premises are the room(s) you book at Canton Suite, Canton, Massachusetts (the "Room"), together with non-exclusive use of the shared waiting room, restroom, coffee and tea station, and parking lot (the "Common Areas").

2. License, not a lease

This Agreement grants a revocable, non-exclusive license to use the Room during the booked hours only. It is not a lease, tenancy, sublease, or partnership, and creates no interest in real property. You have no right to occupy the Room outside your booked hours and no right to exclude Licensor from the premises.

Licensor retains control of the premises and may enter the Room at any reasonable time for maintenance, safety, or emergency, taking care not to interrupt a session in progress except in an emergency.

3. Bookings, term, and renewal

Weekly plan: you reserve, every week, either one or more fixed weekdays from the room's opening hour to closing hour (day plan), or one fixed weekday and the same four consecutive hours on it (block plan). The plan begins on the billing start date shown at checkout, renews automatically each month, and continues month-to-month until cancelled.

One-time booking: you reserve a single date for the hours selected at checkout.

Bookings begin no earlier than the opening date shown on cantonsuite.com. Licensor may add blackout dates (holidays, maintenance) with notice; any weekly-plan day lost to a Licensor blackout is credited pro rata.

4. Fees and payment

Fees are those shown at checkout and are payable by credit or debit card through Stripe only. Weekly plans are charged monthly in advance on the 1st; one-time bookings are charged in full at booking. You authorize Licensor to charge the same card for any amounts due under this Agreement (Sections 9 and 10). Fees are exclusive of any tax that may apply.

If a monthly charge fails, Stripe will retry. If two attempts fail, the weekday is released and this Agreement ends for that plan without further notice.

Licensor may change weekly-plan fees with at least 30 days' written notice by email; continued use after the effective date is acceptance of the new fee.

5. Cancellation and refunds

Weekly plan: you may cancel at any time from the link in your confirmation email. The plan ends 30 days after cancellation; the final month is not prorated below 30 days. No refunds for unused days within the notice period.

One-time booking: cancellations made at least 24 hours before the start time are refunded in full to the original payment method. Cancellations inside 24 hours, and no-shows, are not refundable.

Licensor may cancel any booking for the reasons in Section 12 and will refund unused prepaid time on a pro-rata basis unless the cancellation is for your breach.

6. Permitted use

The Room may be used only for lawful, professional services consistent with your license or credential: psychotherapy, counseling, assessment, speech-language pathology, occupational therapy, tutoring, coaching, and similar office-based services.

Not permitted: overnight stays; retail or food service; events, classes, or groups larger than the Room's seating; medical procedures; storage of controlled substances; anything that produces noise, odor, or foot traffic unreasonable for a quiet professional suite; and any use that would void Licensor's insurance.

7. Your clients and their records

Your clients are yours. You are solely responsible for their care, safety, intake, records, billing, and confidentiality, including compliance with HIPAA, 42 CFR Part 2, Massachusetts privacy law, and the rules of your licensing board. Licensor is not your business associate and does not access, store, or receive client information.

Do not leave client records, devices, or belongings in the Room outside your booked hours. Licensor is not responsible for items left in the Room or Common Areas.

8. Professional standing, identity, and insurance

You represent that you hold and will maintain any license, certification, or credential required for your services, and that you have never been barred from practice. You agree to verify your identity through the verification step provided at booking.

You represent and warrant that you carry liability insurance appropriate to your services — professional liability (malpractice) insurance for clinical and counseling services, and in every case general liability insurance covering bodily injury and property damage arising from your activities and your clients on the premises, including the parking lot — of at least $1,000,000 per occurrence, and that it will remain in force for every booked day. You are not required to upload a certificate to book, but you must produce a current certificate within 48 hours of Licensor's request, and you may upload one anytime from your booking page. This insurance is a condition of this license: you may not book without it, a booking made without it is void at Licensor's option with no refund, and you will indemnify Licensor for any claim that insurance would have covered. Any incident involving you, your clients, or your visitors anywhere on the premises — Room, hallway, waiting room, restroom, entrance, or parking lot — is to be handled by your insurance, not Licensor's.

9. Access, door code, and conduct

Your door code is personal to you and works only during your booked hours. Do not share it or admit anyone other than your clients. Report a lost or compromised code immediately.

Before you leave, restore the Room to the condition you found it in: furniture and equipment back in place, surfaces cleared, trash removed, lights off, door closed. If the Room is not restored, Licensor may charge your payment method on file for the reasonable cost of restoring or cleaning it. White-noise machines stay on during sessions. Keep voices low in the hallway and waiting room.

Security notice: the entrance, hallway, coffee station, and parking lot are monitored by video security cameras that record video only, with no audio. There are no cameras in any treatment room or restroom. By entering the premises you and your clients acknowledge this notice; you agree to inform your clients of it.

Parking is free for you and your clients during your booked hours only. A vehicle left in the lot after your booked hours is treated as continued use of the Room: Licensor may charge your payment method on file at the Room's hourly rate for each additional hour or part of an hour until the vehicle leaves, and may have the vehicle towed at the owner's expense. No overnight parking or vehicle storage — except that a Licensee holding a weekly plan for five or more days of the week may leave one vehicle overnight in the lot at no charge for the life of that plan (at the Licensee's own risk; no storage of unregistered or inoperable vehicles).

10. Damage and cleaning

You are responsible for damage to the Room, furnishings, or Common Areas caused by you or your clients beyond normal wear, and for the reasonable cost of extraordinary cleaning. Licensor may charge such costs to your payment method on file after notice with an itemized statement.

11. No employment or agency; independent practice

You are an independent professional. Nothing in this Agreement makes you an employee, agent, contractor, or partner of Licensor, and you may not represent otherwise. You may not use Licensor's name, marks, or affiliation in your marketing without written consent.

12. Termination by Licensor

Licensor may end this Agreement, or any booking, immediately on written notice if you: breach Sections 6–10; lose or misrepresent a required license, credential, identity, or insurance; have a payment fail twice; behave in a way that endangers or harasses anyone on the premises; or if the premises become unavailable. Otherwise Licensor may end a weekly plan on 30 days' notice.

13. Assumption of risk, release, and indemnity

The Room and Common Areas are provided "as is." To the fullest extent permitted by law, you assume the risk of, and release Licensor and its members, employees, and agents from, claims for personal injury, illness, death, or property loss or damage — including to vehicles and their contents in the parking lot — suffered by you, your clients, or anyone you admit, anywhere on the premises (Room, hallway, waiting room, restroom, entrance, and parking lot), arising from your use of the premises, except to the extent caused by Licensor's gross negligence or willful misconduct.

You will defend, indemnify, and hold harmless Licensor from claims, damages, and expenses (including reasonable attorneys' fees) brought by anyone — including your clients and their companions — arising from your services, your clients' presence on the premises or in the parking lot, your breach of this Agreement, or your violation of law. Your insurance under Section 8 is primary for such claims.

14. Limitation of liability

Licensor's total liability under this Agreement is limited to the fees you paid for the booking giving rise to the claim. Licensor is not liable for indirect, consequential, or lost-profit damages, or for any interruption of your practice due to unavailability of the premises, utilities, or internet.

15. Governing law; disputes

This Agreement is governed by the laws of the Commonwealth of Massachusetts. Any dispute will be brought in the state or federal courts located in Norfolk County, Massachusetts, and the parties consent to that jurisdiction. If any provision is unenforceable, the rest remains in effect.

16. Electronic signature and entire agreement

By typing your legal name and checking the acceptance box at checkout you sign this Agreement electronically under the U.S. E-SIGN Act and the Massachusetts Uniform Electronic Transactions Act, with the same effect as a handwritten signature. Licensor records the date, time, IP address, and version of the Agreement you signed and emails you a copy.

This Agreement, the booking details shown at checkout, and the room license terms page on cantonsuite.com are the entire agreement between the parties and replace any prior discussions. Changes must be in writing. Notices to Licensor go to cantonsuite@gmail.com; notices to you go to the email on your booking.
